Constitution

 
Article I - Name and Purpose
 
Section 1. The name of the organization to be governed by this constitution shall be the Board of Directors of the Northern Iowan, the official student newspaper of the University of Northern Iowa.
 
Section 2. The purpose of the Board shall be to govern, under the provisions of this Constitution and its Bylaws, the official student newspaper of the University of Northern Iowa, the Northern Iowan.
 
Article II - Membership
 
The membership of the Board shall consist of seven members as follows:
a. Three student members (graduate or undergraduate) appointed by the Office of Student Affairs. None of the students may be a current NISG Executive Officer or member of the NISG Senate or a current staff member of the Northern Iowan.
 
b. Four members appointed by the President of the University. Three of the members shall be faculty and one member may be either faculty or staff. One of the four members shall be designated by the President of the University as Executive Secretary of the Board. All four members, including the Executive Secretary, shall be voting members of the Board.
 
Article III - Officers
 
The Executive Secretary shall act as Chairperson of the Board. The Board, may, at its discretion, elect a Vice Chairperson.
 
Article IV - Meetings
 
Section 1. The Board shall have the power to fix the date of its regular meetings. At least one regular meeting shall be held during each of the fall and spring semesters of the academic year.
 
Section 2. Special meetings of the Board may be called by the Executive Secretary or upon the written request of three members of the Board other than the Executive Secretary.
 
Article VI - Amendments
 
This Constitution may be amended at any regular meeting of the Board by a majority vote of the total membership, provided that at least two weeks prior to the time of voting the proposed amendment had been published in the Northern Iowan and sent to each member of the Board. No amendment shall become effective until approved by action of the President of the University.
 
Bylaws
 
Quorum
 
Section 1. One half of the seated Board shall constitute a quorum for the transaction of business, provided that at least one member is a faculty member.
 
Appointment and Election of Members
 
Section 2. The three student members of the Board shall be appointed by the Office of Student Affairs to serve as Board members for terms of one year. Student members may be reappointed for consecutive terms.
 
Section 3. Faculty members shall be appointed by the President of the University to serve in overlapping terms of four years each. Faculty members may be reappointed for consecutive terms.
 
Section 4. The official appointment year runs from June 1 to May 31.
 
Section 5. Resignation of Board members shall be presented to the Executive Secretary of the Board in writing.
 
Section 6. Vacancies in the student membership of the Board shall be filled by appointment by the Office of Student Affairs.
 
Section 7. Vacancies in the faculty membership of the Board shall be filled by appointment by the President of the University.
 
Section 8. Failure to attend two consecutive meetings of the Board without prior notification to the Executive Secretary shall be considered grounds for removal.
 
Board-Appointed Student Editors and Officers
 
Section 9. The Board shall appoint the Executive Editor and Managing Editor for the Northern Iowan and such other officers, as it deems advisable, to be selected from applicants who meet requirements hereafter stated. The Executive Editor and Managing Editor will hold office for such term as the Board may desire.
 
Section 10. A candidate for a Board-appointed position on the Northern Iowan shall provide a signed application and a statement of qualifications. This application shall be filed with the Northern Iowan manager at least one week prior to formal consideration of candidates by the Board.
 
Section 11. To be appointed to and retained in a Board-appointed position, a student must possess a 2.50 cumulative grade point average. Exceptions to this requirement may be granted only upon the recommendation of the Northern Iowan advisor and approval of the Board.
 
Section 12. Appointments to Board-appointed positions may require agreement to course load specifications. Exception to such specifications may be granted only upon the recommendation of the Northern Iowan advisor and approval of the Board.
 
Section 13. The Executive Editor and Managing Editor of the Northern Iowan shall be considered the student officers of highest authority and responsibility for the publication.
 
Section 14. The Executive Editor, Managing Editor, and other Board-appointed officers of the Northern Iowan are responsible to the Board of Directors. They are expected to confer with the advisor and/or Northern Iowan manager concerning major editorial, production, and business decisions.
 
Section 15. The Executive Editor of the Northern Iowan shall be responsible for maintaining a staff and supervising editorial departments of the publication.
 
Section 16. The Managing Editor of the Northern Iowan shall be responsible for maintaining a staff and supervising sales and production departments of the publication.
 
Section 17. The resignation of an Executive Editor, Managing Editor, or other Board-appointed student publication officers shall be presented in writing to the Board. A resignation shall not become effective until accepted by the Board.
 
Section 18. The Executive Secretary of the Board, upon recommendation of the advisor and Northern Iowan manager, may suspend for cause the Executive Editor or Managing Editor. A personal hearing before the Board shall be granted such Executive Editor or Managing Editor upon his or her request. The Board, after conducting a formal hearing pursuant to appropriate rules of due process, may discharge or reinstate the officer.
 
Editor/Staff Academic Requirements
 
Section 19. To be appointed and maintain a position on the editorial board of the Northern Iowan, a student must possess a 2.33 cumulative grade point average. Exceptions to this requirement may be granted only upon the recommendation of the advisor and Northern Iowan manager with the approval of the Board.
 
Editor/Staff Conflict of Interest
 
Section 20. Editors and staff members of the Northern Iowan should refrain from holding memberships and/or serving in elected or appointed offices that may compromise their ability to serve effectively in their positions.
 
Section 21. The Executive Editor and Managing Editor of the Northern Iowan are prohibited from serving as members of the NISG.
 
Editor/Staff Salaries
 
Section 22. The Board shall determine the payment of salaries and commissions to the staff members of the Northern Iowan.
 
Advisor
 
Section 23. The advisor to the Northern Iowan shall be appointed by the President of the University upon recommendation of the Executive Secretary of the Board.
 
Section 24. With regard to his or her advisory duties, the advisor is responsible to the Board of Directors. The advisor is expected to attend meetings of the Board and to carry out such policies and procedures in advisement, as the Board deems necessary.
 
Section 25. The Board may make recommendations to the President of the University concerning the appointment or dismissal of the advisor of the Northern Iowan.
 
Northern Iowan Manager
 
Section 26. The Northern Iowan manager is appointed by the Executive Secretary of the Board. This decision is subject to review by the Board.
 
Section 27. The Northern Iowan manager shall be required to file with the Board monthly reports of all receipts and disbursements regarding the Northern Iowan.
 
Section 28. The Northern Iowan manager shall be responsible for the preparation of the annual budget for the Northern Iowan, acting in consultation with the advisor. The Board must approve the budget.
 
Amendments
 
Section 29. These Bylaws may be amended at any meeting of the Board by a majority vote of the membership. No amendment shall become effective until approved by the President of the University.
